Be it enacted by the People of the State of Maine as follows:

 
Sec. 1. P&SL 1899, c. 200, §5, sub-§1, as repealed and replaced by PL
1995, c. 40, §1 and affected by §4, is amended to read:

 
1. Organization; conduct of business. As soon as convenient
after the election of trustees, the trustees shall hold a meeting
in the city rooms in the City of Waterville and organize by the
election of a president and clerk, adopt a corporate seal and,
when necessary, may choose a treasurer and all other necessary
officers and agents for the proper conduct and management of the
affairs of the district.

 
All decisions of the board of trustees must be by a majority of
those present and voting. A quorum of the board of trustees is 7
trustees.

 
Trustees are entitled to compensation in accordance with Title
35-A, chapter 63 section 6410, subsection 7, except that
compensation for the president and treasurer of the district need
not be based on attendance at district meetings but may be in the
form of annual salaries that are approved in accordance with that
section.

 
No trustee of the district may hold a position or office of
managerial or policy-making authority within any state or local
government, public utility or business that profits from or
conducts business on a regular basis with the district.

 
SUMMARY

 
This bill amends the charter of the Kennebec Water District to
clarify provisions relating to trustee compensation and to
restrict the outside activities of trustees in order to reduce
potential conflicts of interest.
